TERMS AND CONDITIONS FOR PLAYZONBET AFFILIATES

I. GENERAL PROVISIONS

These Terms and Conditions govern the use of the website www.playzonbet.com and the services associated with the Affiliate Program. They establish the contractual relationship between you (hereinafter referred to as “the Affiliate”) and OnEntertainment S.A.C., a company incorporated under the laws of Peru, identified with RUC 20610125221, and having its registered office at Av. Primavera 939, Interior 302, San Borja, Lima (hereinafter referred to as “PlayzonBet” or “we”).

By registering for the PlayzonBet Affiliate Program and accepting these Terms and Conditions through selecting the "I Accept" option, the Affiliate agrees to fully comply with the provisions set forth in this agreement, which constitutes a legally binding contract between both parties.

PlayzonBet reserves the right to amend, alter, remove, or add provisions to these Terms and Conditions at any time at its sole discretion, without prior notice to the Affiliate. The applicable Terms and Conditions at any given time will be those published on www.playzonbet.com at that moment. Accordingly, the Affiliate agrees to regularly review the Terms and Conditions to which they are subject.

The continued (i) participation in the Affiliate Program, (ii) use of the Affiliate website and/or Marketing Tools (as defined below), or (iii) acceptance of any payment by the Affiliate constitutes their irrevocable acceptance of these Terms and Conditions.

II. PURPOSE

2.1 PlayzonBet offers its players some of the most recognized betting products in the market, including sports betting, poker, and casino games, through the website www.playzonbet.com.

2.2 The Affiliate operates one or more websites or social media accounts (hereinafter referred to as “Affiliate Media”) and expresses interest in promoting the PlayzonBet website to their community and/or audience in exchange for a previously agreed remuneration.

2.3 These Terms and Conditions govern the promotion of the PlayzonBet website by the Affiliate, as well as the payment conditions previously agreed upon by the parties. The remuneration will be determined based on the traffic generated, the number of new players registered, and/or the volume of depositing users on www.playzonbet.com through the Affiliate Media, as per the terms negotiated between the parties.

III. ACCEPTANCE AS AN AFFILIATE

3.1 PlayzonBet will evaluate the Affiliate registration form available on the website and inform the prospective Affiliate of the acceptance or rejection of their application via email. PlayzonBet reserves the right to reject any application without stating any reason.

3.2 Once the Affiliate has been registered in our tracking system, they are deemed to have fully and bindingly accepted these Terms and Conditions, thereby formalizing the agreement between the parties.

IV. ESSENTIAL CONDITIONS

The applicant wishing to become an Affiliate guarantees that:

4.1 They are over 18 years of age and of legal age in their country of residence to accept these Terms and Conditions.

4.2 They are competent and duly authorized to enter into a binding agreement with PlayzonBet.

4.3 They own all rights, licenses, and permissions for the Affiliate Media and any goods or services used to market, promote, and advertise PlayzonBet in accordance with these Terms and Conditions.

4.4 They will comply with all applicable laws, regulations, and standards regarding the promotion of PlayzonBet.

4.5 They fully understand and accept these Terms and Conditions.

V. RESPONSIBILITIES AND OBLIGATIONS OF PLAYZONBET

5.1 PlayzonBet will assign the Affiliate a link (the “Link”) to direct new players from the Affiliate Media to the PlayzonBet website. The Link will enable PlayzonBet to identify new players originating from the Affiliate Media.

5.2 PlayzonBet will provide the Affiliate with access to the platform for sharing necessary marketing information to effectively implement the Link in the Affiliate Media.

5.3 PlayzonBet will handle all services provided to players, monitor new players, process payments to the Affiliate, and address any instances of fraud or abuse.

5.4 PlayzonBet will track the earnings generated by new players referred through the Link. These statistics and reports will be available to the Affiliate via the platform.

5.5 PlayzonBet will compensate the Affiliate based on revenue generated by the new players referred, as outlined in Section 7 of these Terms and Conditions.

5.6 PlayzonBet reserves the right to reject any player or close any account if necessary to comply with its policies or protect its interests.

5.7 PlayzonBet may terminate the Affiliate's account if fraud or any breach of these Terms and Conditions is detected.

VI. AFFILIATE’S RESPONSIBILITIES AND OBLIGATIONS

6.1 The Affiliate hereby agrees to promote PlayzonBet, guaranteeing and committing to the following:

6.1.1 They will use their best efforts to efficiently and actively promote, advertise, and market PlayzonBet to maximize mutual benefits. This will be done following PlayzonBet’s guidelines, which will be periodically uploaded to the platform provided.

6.1.2 They will promote and refer potential players to PlayzonBet at their own cost and risk. The Affiliate shall be solely responsible for the distribution, content, and manner of their marketing activities. Furthermore, the Affiliate agrees not to modify or alter any marketing material without prior written consent from PlayzonBet. All marketing materials shall be used exclusively for the advertising services provided by the Affiliate. All promotional activities must comply with applicable laws and adhere to the negotiations outlined in these Terms and Conditions.

6.1.3 They will ensure that all new players from their community or audience register through the tracking link provided to the Affiliate by PlayzonBet. Otherwise, the count of referred players will not be calculated, and the compensation will not be recorded in PlayzonBet’s system.

6.1.4 They are responsible for the development, operation, and maintenance of their media channels (the “Affiliate Media”) and the material displayed on them.

6.2 Additionally, the Affiliate guarantees:

6.2.1 They will not engage in defamatory, discriminatory, obscene, or illegal acts, nor will they display inappropriate materials or content that includes explicit sexual, pornographic, or violent elements.

6.2.2 They will not actively target individuals under the age of 18.

6.2.3 They will not actively promote in jurisdictions where online gambling and its promotion are illegal.

6.2.4 They will not generate traffic to PlayzonBet through fraudulent activities, including but not limited to:

Sending spam.

Using incorrect meta tags.

Registering as a player or accessing, directly or indirectly, any player account through their tracking link for personal benefit or for friends, employees, or other beneficiaries.

Employing any other methods to “artificially” increase earnings or commit fraud against PlayzonBet.

Violating these rules will be considered fraudulent activity.

6.2.5 The Affiliate may only use marketing materials provided by PlayzonBet or made available on the platform. Use of any other materials created by PlayzonBet requires prior written authorization.

6.2.6 The Affiliate will provide accurate and complete information to PlayzonBet. This includes but is not limited to their identity, updated contact details, information about the Affiliate Media, payment instructions, address, nature of current or planned marketing activities, and any other information requested by PlayzonBet.

6.2.7 Affiliates are prohibited from offering any type of refund, rebate, or similar promotions.

6.2.8 The Affiliate agrees to compensate PlayzonBet for any loss or expense incurred due to or in connection with the Affiliate’s breach of these Terms and Conditions.

6.2.9 The Affiliate is required to obligatorily promote PlayzonBet’s "official campaigns."

6.2.10 PlayzonBet will share with the Affiliate the campaign materials (graphics, suggested text, URLs, etc.), as well as the campaign’s duration.

6.2.11 The Affiliate must make a minimum number of weekly posts on their registered media channels during the duration of the official campaigns, as specified in the contract.

6.2.12 During official campaigns, the Affiliate must send an email to [email protected] detailing the schedule of weekly posts, including the day and time of each publication. If the email is not received within the first three (3) days of the current week, the posts will not be considered for performance evaluation.

6.2.13 The Affiliate must take the following actions on their registered media channels:

"Pin to the top" the graphic or promotion sent by PlayzonBet.

Display the campaign-specific cover image designed by PlayzonBet, customized for the Affiliate Media.

Exclusively feature PlayzonBet in all mentions related to betting and gambling.

6.2.14 If the Affiliate’s communication channel is a blog, they must:

Visibly display a banner of the "official campaign."

Publish a weekly post that includes information about the "official campaign."

Protect the name and image of PlayzonBet against competitors.

6.2.15 Failure to participate in at least two (2) "official campaigns" will be grounds for termination of this agreement, subjecting the Affiliate’s account to evaluation by PlayzonBet.

6.2.16 The Affiliate may not use PlayzonBet’s communication channels for personal gain and is expressly prohibited from promoting or advertising bonus codes or any promotions for their benefit on such channels (including Facebook, websites, blogs, etc.).

VII. PAYMENTS

7.1 PlayzonBet agrees to remunerate the Affiliate based on the net revenue generated exclusively by new players who place their first bet.

7.2 Payments to the Affiliate for the promotion of PlayzonBet’s portal will be calculated based on the net revenue derived from new players (as defined in clause 7.1) referred through the Affiliate Media using the tracking link provided.

The calculation of net revenue will be as follows:

a) For Sports Betting Revenue:

Net revenue will be determined as the total real money wagered by new players minus the following deductions:

Players’ winnings.

Voided bets.

Chargebacks and refunds.

Bonuses and free bets.

Promotional payouts provided by PlayzonBet to new players.

Fees incurred for the use of odds providers.

Administrative costs incurred by PlayzonBet.

b) For Casino Revenue:

Net revenue will be defined as the net profits generated by casino players, subtracting the following:

Players’ winnings.

Chargebacks.

Bonuses awarded.

Administrative fees.

7.3 Payment of commissions will only be processed once the Affiliate's cumulative earnings exceed the threshold of $100 (one hundred U.S. dollars).

7.4 Affiliates are responsible for ensuring that the payment details provided in their account are accurate and up to date. PlayzonBet shall not be held liable for any delays or errors in payment caused by incorrect or incomplete payment information provided by the Affiliate.

7.5 Payments will be made monthly, provided the Affiliate has reached the payment threshold mentioned in clause 7.3, and the payment cycle will commence on the 5th business day of the following month.

7.6 If the Affiliate fails to meet the payment threshold within a 12-month period, PlayzonBet reserves the right to terminate the agreement and forfeit any accumulated earnings.

7.7 PlayzonBet will withhold any commissions derived from fraudulent, unauthorized, or otherwise invalid player activity.

VIII. TERMINATION

8.1 These Terms and Conditions may be terminated by either party by providing written notice to the other party. Such written notice must be sent via email.

8.2 The Contracting Parties hereby agree that upon termination of the Agreement:

8.2.1 The Affiliate shall remove any reference to PlayzonBet from the Affiliate Media and communications, whether such communications are promotional or otherwise.

8.2.2 All rights and licenses granted to the Affiliate under these Terms and Conditions will immediately cease, and the Affiliate must discontinue the use of any trademark, service mark, logo, or other designs associated with PlayzonBet.

8.2.3 The Affiliate will only be entitled to payment for activities up to the effective termination date. However, PlayzonBet may withhold the Affiliate's final payment for a reasonable period to ensure the correct amount is disbursed. The Affiliate will not receive payments for promotions conducted after the termination date.

8.2.4 In the event of a breach of these Terms and Conditions by the Affiliate, PlayzonBet reserves the right to withhold the Affiliate’s payments as security against any claims arising from such a breach.

8.2.5 The Affiliate must return to PlayzonBet all confidential information of any kind (including all copies and derivatives) in the Affiliate's possession, custody, or control.

8.2.6 The Affiliate shall release PlayzonBet from all obligations and liabilities arising after the termination date, except those specifically designed to survive termination.

8.2.7 PlayzonBet may terminate the Agreement with the Affiliate at any time by sending notice via email and/or deactivating the Affiliate’s account on the affiliate platform. Such termination shall be effective immediately upon issuance of the notice, extinguishing all rights, payments, and benefits arising from the program.

Termination does not release the Affiliate from any liabilities arising from a breach of the Terms and Conditions that occurred prior to termination. Once the contractual relationship between PlayzonBet and the Affiliate has ended, all payments and benefits associated with the affiliate program will be considered extinguished.

IX. WARRANTIES

9.1 The Affiliate expressly acknowledges and agrees to assume the risks associated with the use of the internet, and that this "Affiliate Program" is provided "as is" and "as available" without any warranties or conditions, whether express or implied.

PlayzonBet makes no guarantee of uninterrupted access to its website at any specific time or location.

9.2 PlayzonBet shall not be held liable for any errors, omissions, losses, or damages incurred by the Affiliate due to any failure, delay, or interruption of all or part of PlayzonBet's website or the Affiliate Program. PlayzonBet does not guarantee that its systems, networks, software, or hardware (or those of third-party providers) are error-free or without interruptions.

X. LEGAL ASPECTS

10.1 This Agreement is governed by the laws of Peru, and both parties agree to submit to the jurisdiction of the courts of the Judicial District of Lima, excluding the Judicial Districts of Lima East, Lima North, and Lima South.

XI. ASSIGNMENT TO THIRD PARTIES

11.1 The Affiliate may not assign any rights or obligations under these Terms and Conditions to third parties without prior written consent from PlayzonBet.

XII. WAIVER

12.1 Failure by PlayzonBet to enforce any provision of these Terms and Conditions against the Affiliate shall not constitute a waiver of its right to enforce such provisions at any time.

XIII. FORCE MAJEURE

13.1 Neither party shall be held liable for any delay or failure to perform their obligations under these Terms and Conditions if such delay or failure is due to causes beyond their reasonable control and not resulting from their fault, including but not limited to labor disputes, strikes, acts of God, acts of terrorism, floods, lightning, communication system failures, fires, earthquakes, or other causes. If a force majeure event occurs, the affected party is excused from performing its obligations prevented by the force majeure event.

XIV. RELATIONSHIP BETWEEN THE PARTIES

14.1 Nothing in these Terms and Conditions, nor any action taken by either party, shall be construed as creating any employment, agency, partnership, joint venture, or association between the parties. Neither party shall have the authority, whether express or implied, to bind the other or create obligations on behalf of the other.

XV. SEVERABILITY

15.1 Whenever possible, each provision of these Terms and Conditions shall be interpreted to comply with applicable laws. However, if any provision is found to be invalid or unenforceable in any respect, such provision shall be deemed severed only to the extent of its invalidity, without invalidating the remaining provisions of these Terms and Conditions.

XVI. CONFIDENTIALITY

16.1 All information related to PlayzonBet's business and finances, player and customer lists, as well as pricing and sales data, must be treated with strict confidentiality. Any such information accessed by the Affiliate may not be used for commercial purposes or any other purpose, directly or indirectly. This confidentiality obligation remains binding even after the termination of the Affiliate's relationship with PlayzonBet for any reason.
